Terms of Service

1. The parties

These terms are between you (an individual or organisation) and Grey & Associates, the provider of the cog software and the websites at getcog.ai and licence.getcog.ai (together, the “Service”).

2. What cog is and isn't

cog is a self-hosted, Go-native AI agent runtime. You run it on your own hardware, against your own database, using your own model API keys and third-party credentials (Telegram, Discord, etc.). Cog has no access to your infrastructure, your data, or your model provider accounts — except the metadata described in the Privacy Policy.

3. Free tier

The Free tier is provided at no cost. It is a full runtime, not a trial: it does not phone home, does not require an account, and does not expire. We may change features or end support for platforms, with reasonable notice where practical. No warranty is provided for the Free tier beyond what the Software License grants.

4. Pro subscription

• Pro is a paid subscription billed by Stripe on behalf of Grey & Associates. Prices and billing cycles are shown at getcog.ai/pricing at the time of purchase and may change with notice.
• On successful payment, the licence API issues a licence.json file for your instance. The licence is tied to your account and is for single-instance use unless a different licence grants more.
• Your instance performs periodic check-ins to licence.getcog.ai to verify the licence. If you cancel or a payment fails, the instance remains fully operational on the Free tier after the next check-in; Pro features are disabled.
• Refunds: we refund Pro in line with Stripe's subscription refund policy and our good faith. If you believe your subscription was charged in error, email us at the address in the Privacy Policy within 14 days of the charge.

5. Your responsibilities

• Keep your licence file, model API keys, and instance credentials secure. You are responsible for the acts of your agent and for compliance with the laws applicable to your use, including data-protection and AI-use rules.
• Do not resell, sublicense, or redistribute Pro functionality, the licence file, or the Service, or use the Service to build a competing hosted agent product.
• Do not attack, probe, or overload the licence API or getcog.ai beyond normal usage, or attempt to circumvent licence verification.

6. Intellectual property

The Software is distributed under the licence terms in the cog repository. Your data, prompts, trajectories, and custom gears remain yours in full. We claim no ownership of anything your agent produces on your hardware.

7. Disclaimer of warranties

THE SERVICE AND SOFTWARE ARE PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI systems can be wrong; you bear responsibility for verifying output before acting on it.

8. Limitation of liability

To the maximum extent permitted by law, Grey & Associates' total liability arising out of or in connection with the Service is limited to the amounts you paid us in the twelve months before the claim. We are not liable for indirect, incidental, or consequential losses, or for losses arising from model-provider failures, your own configuration, or actions taken by an agent.

9. Termination

You may stop using the Service at any time. We may suspend or terminate Pro access for material breach, in which case the instance falls back to the Free tier. Sections that by their nature survive termination (IP, warranty disclaimers, liability limits) do.

10. Changes and governing law

We may amend these terms with notice on this page; material changes to billing will be notified by email before they take effect. These terms are governed by the laws of England and Wales, with the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer law gives you protection at your home address.
